Martin Hilb presents an innovative and integrated approach to the theory and practice of corporate governance. Central to this approach is a set of instruments - developed and tested by the author - that can be used by boards to offer effective strategic direction and control to their organizations. The board instruments can be readily applied to the targeted selection, review, remuneration and development of board members, and for conducting board self-evaluations. This new approach to corporate governance is based on four guiding principles: keep it situational, keep it strategic, keep it integrated, and keep it controlled. Together, these principles form the basis of an integrated approach that addresses all key aspects of corporate governance. The main arguments in each section are supported by conceptual models, practical board tools or case studies, making the book ideally suited to board members, senior managers and post-graduate students.

When used in conjunction with corporations, the term "public" is misleading. Anyone can purchase shares of stock, but public corporations themselves are uninhibited by a sense of societal obligation or strict public oversight. In fact, managers of most large firms are prohibited by law from taking into account the interests of the public in decision making, if doing so hurts shareholders. But this has not always been the case, as until the beginning of the twentieth century, public corporations were deemed to have important civic responsibilities. With The Failure of Corporate Law, Kent Greenf

In Japan, the problem of corporate governance has been cogently argued in the ?eld of social science for the past decade, and the issue has also been taken up separately in law, business administration, and accounting. This book, however, is the ?rst to take a general overview of corporate governance with respect to management, risk management, accounting, and the capital markets. Corporate governance in the broad sense must include stakeholders with various interests while taking into consideration the sometimes unscrupulous affairs of companies and bankruptcies of big businesses, along with today’s increasing numbers of mergers and acquisitions. Both the company manager and the institutional investor have begun to be more concerned about corporate social responsibility (CSR) and socially responsible investment. After 2003, the issue of CSR began to be taken up more frequently by the media in Japan, and study meetings and committees associated with the Ministry of Economy,Trade and Industry, Ministry of the Environment, and the Ministry of Health, Labour and Welfare were established. These trends are evidence of signi?cant changes in Japanese corporate governance. The study presented here proposes that a company should play a social role to bring about a sustainable society.

Exploring the diverse ways that corporations affect the practices and structures of the global political economy, this innovative work addresses three fundamental questions: How can the corporation be most usefully conceptualized within the field of IPE? Does global governance succeed in constraining the power of multinational corporations? To what extent has the movement for corporate social responsibility been fruitful? The authors' rich, detailed contributions covering topics ranging from environmental governance to control of the Internet, from the evolution of legal structures to issues of outsourcing cogently reestablishes the study of the corporation as a central concern for IPE.

Like all the books in this series, this volume proposes wide-ranging reflections and cultural considerations pertinent to business management. Traditionally, realism is identified with a disenchanted approach to reality which is counterpoised to all forms of ideology or utopia. What is proposed here is a strategic realism which supports a humanist approach to enterprise, while steering clear of both cynicism and idealism. Seen from this angle, the crucial aspects of strategy are: the opportune selection of attainable advantages; interest as the spur to change; stratagem as a lever on the trend of events; the plan which traces the route of the opportunities called up, and the action that harvests the fruits.
